Karl BrookesChief Executive Officer, Chairman of the Management

The Supervisory Council of AS Tallinna Vesi appointed Karl Heino Brookes as a member of the Management Board from 20th of March 2014 and since the beginning of June 2014 he is the CEO of AS Taliinna Vesi. Karl Brookes has nearly 30 years of experience in utilities sector both, in UK and internationally. Since 2011 up until now, Karl Brookes worked as the Head of Operations in Balfour Beatty Utility Solutions. Prior to this Mr. Brookes had worked for nearly 25 years in United Utilities Group in a variety of senior management roles. He does not own any shares in AS Tallinna Vesi.

Riina KäiMember of the Management Board

Riina Käi started working as a Chief Financial Officer and a member of the Management Board of AS Tallinna Vesi from the end of October 2012. Previously she has gained broad work experience in financial accounting and –management. She has worked as a development manager, financial manager, financial controller and as a chief accountant in different companies. Riina holds bachelors degree (secialisation to Financial accounting and -management) as well as Marster’s degree of Economic Sciences from Tallinn University of Technology. Riina is also a member of ACCA (Association of Charted Certified Accountants) since 2009. She owns 100 shares in AS Tallinna Vesi.

Aleksandr TimofejevMember of the Management Board

Aleksandr Timofejev has been working on various positions in AS Tallinna Vesi since 2007. Starting from 2011 he has been a member of Executive Team of the Company and has participated in the development and implementation of several strategic decisions. Aleksandr Timofejev holds a master’s degree from Tallinn University of Technology in environmental technology, specialising in water technology. He does not own any shares in AS Tallinna Vesi.

Martin PadleyMember of the Supervisory Council

Nominated by the United Utilities Group and elected at the AGM of October 29th 2014. Mr Padley has worked in the water industry for 20 years in a number of technical, process, asset, project, operational, regulatory and quality management roles. His current role in United Utilities is Chief Scientific and Quality Officer leading a team of 260 people and being responsible for all of the technical, scientific, quality assurance, accreditation and technical audit functions. Martin Padley does not own any shares of AS Tallinna Vesi.

Steven Richard FraserMember of the Supervisory Board

Steven Fraser was appointed by the United Utilities Group to the Supervisory Council of AS Tallinna Vesi on 21.01.2012, last re-appointed on 21.01.2014. Steven Fraser is the Managing Director of United Utilities. He was previously A Director of Bethell Power Services before joining United Utilities in 2005 in an Operations Director's role. Mr. Fraser holds a BA in Management Science and an MSC in Engineering Project Management. He does not own any shares in AS Tallinna Vesi.

Simon Roger GardinerChairman of the Supervisory Council

Nominated by the United Utilities Group and elected at the EGM on 14.12.2010, he was last re-elected on 23 May 2014. Simon Gardiner is the General Counsel and Company Secretary of United Utilities Group PLC and a director of United Utilities International. Mr. Gardiner is a UK qualified solicitor as of 1996. He does not own any shares in AS Tallinna Vesi.

Brendan Francis MurphyMember of the Supervisory Board

Appointed by the United Utilities Group to the Supervisory Council of AS Tallinna Vesi on 27.10.2011 (last re-appointment 27.10.2011). Brendan Murphy is the Head of Treasury at United Utilities Group PLC, responsible for managing all aspects of the group's treasury activities. As an experienced treasury professional he has strong technical skills across all aspects of treasury activities including: financing and capital structure strategies; extensive knowledge of debt capital markets; management of corporate financial risks and associated hedging; transaction execution management; and financial analysis skills. Mr. Murphy qualified as an Associate of the Chartered Institute of Bankers in England and Wales with Barclays prior to joining United Utilities and is a qualified member of the Association of Corporate Treasurers. He does not own any shares in AS Tallinna Vesi.

Mart MägiMember of the Supervisory Board

Mart Mägi was elected as an independent member of the Supervisory Council at the EGM of 23.11.2007 and has been re-elected for several consecutive times in office, last on 23.05.2014. Since July 2014, Mart Mägi has been a member of the Management Board of Pharma Holding OÜ (Südameapteek). Mart Mägi has extensive knowledge and experience in finance and business. He has an MBA degree in Insurance and Banking from the University of Insurance and Banking in Warsaw and in Management Science from the University of Tartu. He does not own any shares in AS Tallinna Vesi.

Rein RatasMember of the Supervisory Board

Nominated by the City of Tallinn and elected at the EGM on 22.11.2005 and has been re-elected for several consecutive times in office, last on 23.05.2014. Since 2015, Rein Ratas is a member of Estonian Parliament Riigikogu and has been a member of Parliament also in 2007-2011. Rein Ratas has a PhD in the field of biology and he has been active in the area of environmental protection. Rein Ratas has been formerly working as the Secretary General in the Environmental Ministry for 7 years and as a professor in the University of Life Sciences and Euroacademy. He does not own any shares in AS Tallinna Vesi.

Toivo TootsenMember of the Supervisory Board

Toivo Tootsen has appointed to the Supervisory Council of AS Tallinna Vesi by the City of Tallinn since 07.04.2011 (last re-appointment 07.04.2015). Toivo Tootsen is a member of Tallinn City Council and a former member of parliament. He has graduated from Tartu University with a degree in Estonian literature and holds a degree in stage production from Tallinn Pedagogical Institute. He does not own any shares in AS Tallinna Vesi.

Allar JõksMember of the Supervisory Board

Allar Jõks was elected as an independent member of the Supervisory Council at the AGM on 21.05.2013. Allar Jõks is an attorney-at-law and a partner at the law firm Sorainen. Previously has worked as a judge at the county court and district court as well as been the Legal Chancellor of the Republic of Estonia. Allar Jõks has the BA and MA in law from the University of Tartu. Allar Jõks is an acknowledged expert in constitutional and administrative law. He does not own any shares in AS Tallinna Vesi.

Priit LelloMember of the Supervisory Board

Priit Lello has been appointed to the Supervisory Council of AS Tallinna Vesi by the City of Tallinn since 16.11.2011 (last re-appointment on 16.11.2013). Priit Lello is the Legal Director of the City of Tallinn managing the legal services of and coordinating legal issues in the City of Tallinn. Mr. Lello has extensive experience in public law, in various sectors of private law, including law of obligations, he has long-term experience in judicial proceedings and representing local government in matters related to constitutional review. Since 1997, Mr. Lello has been working as a lawyer, holding various positions within the City of Tallinn and has been providing legal consultations both to City Government as well as to City offices, organising the legal regulation of areas of importance to the City of Tallinn. Priit Lello is also a Member of the Industrial Property Committee. He does not own any shares in AS Tallinna Vesi.
